Service-specific terms

These Service-Specific Terms ("Service-Specific Terms") contain supplemental terms that apply to particular services and form part of the agreement (the "Agreement") between you or the organization, company, or other entity you represent ("Customer") and OpenModel for those services that reference or incorporate these Service-Specific Terms (such as the Terms of Service). Any capitalized terms not defined in these Service-Specific Terms will have the meaning set forth in the Agreement. In the event of any conflict between the Agreement and these Service-Specific Terms, these Service-Specific Terms shall control with respect to the applicable service.

A. OpenModel API (Team Plan; Enterprise Plan)

Customer must inform its users that (i) they are accessing a managed service product that enables Customer to access and control the data that Customer and its users submit to the service, and (ii) use of the service is subject to OpenModel's policies, including the Privacy Policy and Usage Policy. Customer is responsible for obtaining any necessary user consents and providing all user notices required by applicable law.

B. Beta services

OpenModel may offer services that are in pre-release, testing, preview, or similar trial form ("Beta Services"). This means they are not intended for production use and are provided on an "as is" basis temporarily. OpenModel is not responsible for Customer's use of or reliance on Beta Services and has no obligation to provide any indemnification for their use. OpenModel's liability for Beta Services is limited to the lesser of the fees Customer paid for the services in the preceding 12 months or $1,000.

C. Fine-tuning services

OpenModel may offer services that allow customers to fine-tune or perform other forms of model customization ("Fine-Tuning Services" and any such resulting model, a "Fine-Tuned Model"), including using data provided by Customer ("Fine-Tuning Materials"). Fine-Tuning Services use Fine-Tuning Materials to generate or validate Fine-Tuned Models. Fine-Tuning Materials are Customer Content. Customer's use of Fine-Tuning Services does not constitute a breach of the training prohibition in the Agreement; provided that such training is conducted solely for Customer's use of the Fine-Tuning Services.

D. Cloud-hosted services

General.

OpenModel provides certain services through third-party managed and hosted technology environments, including: (1) Amazon Bedrock ("Bedrock"), hosted and managed by Amazon Web Services, Inc. and its affiliates ("AWS"); and (2) Vertex AI ("Vertex"), hosted and managed by Google LLC and its affiliates ("Google"). AWS and Google are "Cloud Providers" and their environments are the "Cloud Platforms" for purposes of these Service-Specific Terms. Customer acknowledges and agrees that OpenModel is not responsible for the Cloud Platforms or any other services Customer procures from the Cloud Providers, and that changes to the Cloud Platforms or other Cloud Provider services may materially affect Customer's use of the services. Customer may only use the services in compliance with the applicable Cloud Provider policies and Customer's agreements with the applicable Cloud Provider.

The technology provided by OpenModel for accessing the services through Cloud Platforms does not give OpenModel access to any of the Cloud Provider's customer instances, including the Customer Content they contain.

Fees.

Customer must pay all applicable fees and taxes associated with using the services through Cloud Platforms at OpenModel's then-current rates to the applicable Cloud Provider, unless otherwise agreed by the parties. Rate updates take effect on the earlier of 30 days after publication of the update by the applicable Cloud Provider or OpenModel, or when Customer otherwise receives notice.

E. Developer partner program

Customer may (at its discretion) participate in the Developer Partner Program by enabling the licensed data opt-in setting for the services ("Developer Partner Mode"). If Customer enables Developer Partner Mode, OpenModel may use the data Customer submits to the services (e.g., Customer Content) in connection with OpenModel's products and services, including for training models.

F. API usage limits

  • Rate limits: Customer must comply with OpenModel's specified API call rate limits.
  • Quotas: Customer's usage must not exceed allocated quotas.
  • Caching: Customer may cache responses but must comply with OpenModel's caching policy.
  • Monitoring: OpenModel reserves the right to monitor API usage.

G. Data retention

  • Customer data: Customer data will be retained according to Customer's retention settings.
  • Backups: OpenModel will maintain system backups to ensure service continuity.
  • Deletion: Upon termination, Customer data will be processed in accordance with the Data Processing Addendum.

H. Service Level Agreement (SLA)

  • Availability target: 99.9% monthly uptime.
  • Maintenance: Planned maintenance will be communicated in advance.
  • Support: Technical support is provided according to Customer's plan tier.

I. Updates and modifications

OpenModel may update these Service-Specific Terms from time to time. Material changes will be communicated to Customer in advance and will take effect 30 days after notice.
